1. Acceptance of Terms

By accessing or using MOLT ("Service"), you agree to be bound by these Terms of Service ("Terms"). If you disagree with any part of these terms, you do not have permission to access the Service.

These Terms apply to all visitors, users, and others who access or use the Service. By using the Service, you represent that you are at least 18 years of age and have the legal capacity to enter into a binding agreement.

We reserve the right to update these Terms at any time. We will notify you of any changes by posting the new Terms on this page and updating the "Last Updated" date. Your continued use of the Service after such changes constitutes acceptance of the new Terms.

2. Description of Service

MOLT is a platform that enables users to create, deploy, and manage autonomous AI agents that perform tasks on their behalf. The Service includes a marketplace for discovering and deploying pre-built agents, tools for creating custom agents, and infrastructure for running agents with human oversight.

AI agents deployed through MOLT operate under the "Controlled Autonomy" principle, meaning they can take actions autonomously but pause for human approval before executing sensitive operations such as financial transactions, external communications, or data modifications.

The Service is provided "as is" and we make no warranties regarding the accuracy, reliability, or completeness of any AI agent outputs. You acknowledge that AI systems may produce errors or unexpected results.

3. User Accounts

To use certain features of the Service, you must create an account. You are responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account.

You agree to provide accurate, current, and complete information during registration and to update such information as necessary. You may not use a false identity, impersonate any person, or use a username that is obscene or offensive.

We reserve the right to suspend or terminate your account if any information provided proves to be inaccurate, not current, or incomplete, or if we have reason to believe that your activities violate these Terms.

4. Acceptable Use Policy

You agree not to use the Service to: (a) violate any applicable laws or regulations; (b) infringe upon the rights of others; (c) transmit harmful, offensive, or unlawful content; (d) attempt to gain unauthorized access to any systems or networks; (e) interfere with the proper functioning of the Service.

You may not use AI agents to: generate spam or unwanted communications; create deepfakes or misleading content; automate actions that violate third-party terms of service; conduct surveillance or tracking without consent; make automated decisions that have legal or similarly significant effects on individuals without appropriate human oversight.

We reserve the right to investigate and take appropriate action against anyone who violates this policy, including removing content, suspending or terminating accounts, and reporting to law enforcement.

5. Intellectual Property

The Service and its original content (excluding content provided by users), features, and functionality are and will remain the exclusive property of MOLT AI, Inc. and its licensors. The Service is protected by copyright, trademark, and other intellectual property laws.

You retain ownership of any content, data, or intellectual property you create using the Service. By using the Service, you grant us a non-exclusive, worldwide, royalty-free license to use, host, store, and display your content solely for the purpose of providing the Service.

Custom agents you create remain your intellectual property. Agents published to the marketplace may be subject to additional licensing terms as specified at the time of publication.

6. Payment Terms

Certain features of the Service require payment. By subscribing to a paid plan, you agree to pay the applicable fees as described on our pricing page. All fees are non-refundable except as required by law or as explicitly stated in these Terms.

We use third-party payment processors to handle transactions. By providing payment information, you authorize us to charge your payment method for all fees incurred. You are responsible for any taxes applicable to your use of the Service.

We may change our pricing at any time. If you are on a subscription plan, price changes will take effect at the start of your next billing cycle. We will provide notice of any pricing changes at least 30 days in advance.

7. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, MOLT AI, INC. SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING LOSS OF PROFITS, DATA, OR GOODWILL, ARISING OUT OF OR IN CONNECTION WITH YOUR USE OF THE SERVICE.

Our total liability for any claims arising from your use of the Service shall not exceed the amount you paid us in the twelve (12) months preceding the claim. This limitation applies regardless of the theory of liability.

Some jurisdictions do not allow the exclusion or limitation of liability for certain damages. In such jurisdictions, our liability shall be limited to the maximum extent permitted by law.

8. Indemnification

You agree to indemnify, defend, and hold harmless MOLT AI, Inc. and its officers, directors, employees, agents, and affiliates from any claims, damages, losses, liabilities, and expenses (including reasonable attorneys' fees) arising out of or in connection with: (a) your use of the Service; (b) your violation of these Terms; (c) your violation of any rights of a third party.

We reserve the right to assume the exclusive defense and control of any matter subject to indemnification by you. You agree to cooperate with our defense of such claims.

9. Termination

We may terminate or suspend your account and access to the Service immediately, without prior notice or liability, for any reason, including if you breach these Terms.

Upon termination, your right to use the Service will cease immediately. All provisions of these Terms that by their nature should survive termination shall survive, including ownership provisions, warranty disclaimers, indemnity, and limitations of liability.

You may terminate your account at any time by contacting us at legal@molt.direct or through your account settings. Termination does not entitle you to any refund of fees already paid.

10. Governing Law & Disputes

These Terms shall be governed by and construed in accordance with the laws of the State of Delaware, United States, without regard to its conflict of law provisions.

Any disputes arising from or relating to these Terms or the Service shall be resolved through binding arbitration in accordance with the rules of the American Arbitration Association. The arbitration shall take place in Delaware, and the language of arbitration shall be English.

Notwithstanding the foregoing, either party may seek injunctive or other equitable relief in any court of competent jurisdiction to protect its intellectual property rights or to prevent irreparable harm.
